Don has provided legal and business counsel to individuals and to companies ranging in size from newly formed entities to middle market organizations with sales in excess of $100 million. He is a businessman’s lawyer and often serves as the privately owned company’s alternative to in-house counsel. Several of these companies chose to grow through acquisition involving Don in both the acquisition and the related financing. One of these companies was listed on the NYSE while Don was serving as the corporate secretary.Whether his client is a founder, investor, senior executive or business organization, Don is skilled and effective at handling the full range of legal issues typically faced by his business clients, be it day to day legal issues or handling complex acquisition, financing, licensing or other transactions.Don was one of the original three founding lawyers of Anderson Kill & Olick, P.C. in New York City and served as the CFO of the firm as it grew to over 150 attorneys. Later he became a partner at Cummings & Lockwood LLC in Stamford CT where he headed the corporate group. For the last 20 years Don has run his own firm focusing on serving business clients.
Don is actively involved in the Rotary Club of Bedford-Armonk (as Treasurer and past President). He is also a member of the Senior Choir of the Bedford Presbyterian Church.

|Vincent M. Kiernan

Vinny has a broad understanding of many industries and uses this knowledge to identify practical and efficient solutions for his clients. He represents owners, entrepreneurs, investors and senior executives in a wide range of undertakings. To many clients, Vinny is their general counsel and provides ongoing legal and business advice on a broad range of matters. To others, Vinny is a trusted advisor on strategic and complex projects.Vinny has practiced in both New York and Connecticut. While in New York, Vinny was a partner at Anderson Kill & Olick, P.C. Twenty-five years ago Vinny joined Cummings & Lockwood LLC in Stamford CT and became the Chairman of the Business Clients Department and a member of the Executive Committee. In 2002 Vinny opened the Stamford office for Edward Wildman Palmer LLP (and it predecessor firms) and he was the Partner-in-Charge of that office when he left to found Kiernan Herner LLP.For more than 15 years Vinny has served as the general counsel of buildOn, Inc., a 501(c)(3) organization based in Stamford, Connecticut where he provides his services at no charge to buildOn. buildOn is working in places like the South Bronx, Chicago and Detroit to build a better future for American teenagers while also building schools in some of the poorest countries on the planet. To date, buildOn has constructed over 650 schools in remote villages located in, among other countries, Malawi, Mali, Haiti and Nicaragua.
Vinny also volunteers his time to other youth organizations. He served as the President of the Stamford Boys and Girls Club during 2012 and 2013 and remains a member of its Executive Committee and Board of Directors. Vinny helped found the Ridgefield Girls Softball association, a not-for profit entity, formed to promote recreational and competitive softball for the girls of Ridgefield CT. He continues to serve on its Board of Directors.

|Melissa M. Taub
Melissa’s primary practice area is business law. She provides “outside” in-house legal services for newly formed entities as well as established businesses. Melissa was the first General Counsel of priceline.com and stayed with the company through its initial public offering. While at priceline, Melissa was involved in a wide range of commercial, securities, employment, marketing and regulatory matters. Melissa worked closely with the executive management team, outside counsel and the underwriters to take priceline public. Melissa also provided legal counsel to Walker Digital, Inc. and other entities associated with priceline.Melissa has practiced in Connecticut where she was a partner at Cummings & Lockwood and the General Counsel at priceline.com.One of Melissa’s proudest accomplishments is her long term relationship with buildOn, Inc., a Stamford based 501(c)(3) organization dedicated to empowering American youth while building schools in some of the world’s poorest countries. To date, buildOn has constructed over 650 schools around the world and enhanced the lives of countless individuals and communities. On a pro bono basis, Melissa incorporated, organized and obtained tax-exempt status for buildOn when it was founded over 20 years ago. She continues to serve as a member of its National Board of Directors.
Melissa received her undergraduate and masters degrees from the State University of New York at Stony Brook and her law degree from Albany Law School of Union University. She is admitted to practice in Connecticut.
Melissa is married, has two daughters and lives in Ridgefield, Connecticut. She would be just as happy if there were no professional baseball teams in New York since she’d rather spend her time engaged with crafting hobbies, including restoring antique and tag sale finds.
